IN negotiating a business lease, Heads of Terms can be crucial.

Heads which are unclear or not understood often involve time and money in trying to clarify intentions, or to bring them into line with market conditions, for example a rent free period.

Avoid ambiguity by getting your solicitor to review draft Heads early on. This is also a chance to spot opportunities to improve the terms of the transaction.

Common terms that could often be improved on by tenants include: Repair liability – limit it by way of schedule of condition, or to internal repairs only. Break clauses – be wary of conditions attached to invalidate the break. Service charges – if a service charge applies, can you negotiate a cap? Rent deposits – try to negotiate an early release.
